China Tian Yuan Healthcare Group Limited (“TIANYUAN HEALTH”) will ask shareholders to approve a new set of authorisations at its 37th Annual General Meeting (AGM) scheduled for 29 June 2026 in Hong Kong.
The Board is proposing:
• Equity issuance capacity: A general mandate permitting directors to allot and issue shares up to 20% of the issued share capital on the AGM date, equal to 79.80 million shares based on the 398.98 million shares outstanding as at 21 May 2026 (Latest Practicable Date). • Share repurchase authority: A mandate allowing on-market buy-backs of up to 10% of issued shares, or 39.90 million shares, over the same mandate period. Repurchased shares could be added to the issuance limit, effectively raising potential issuance headroom by the number of shares bought back. Each mandate will lapse at the earlier of (i) the next AGM, (ii) the statutory deadline for holding the 2027 AGM, or (iii) revocation by shareholders.
Corporate governance items:
• Board composition: Non-executive Director Ms He Mei and Independent Non-executive Director Mr Yuen Kwok Kuen will retire by rotation and stand for re-election. • Auditor: The Board proposes to re-appoint Crowe (HK) CPA Limited for FY2026, with an expected audit fee between HKD1.80 million and HKD2.00 million, subject to final negotiation.

• Record and book-closure dates: Share transfer registration will be suspended from 24–29 June 2026 (both days inclusive). Shareholders on record as of 29 June 2026 are entitled to attend and vote. • Voting method: All resolutions will be decided by poll in compliance with Hong Kong Listing Rules. • Location and time: 3:00 p.m., 29 June 2026, 11/F, 80 Gloucester Road, Wanchai, Hong Kong.
The Board recommends that shareholders vote in favour of all proposed resolutions, which it views as in the best interests of the Company and its stakeholders.
