Wuhan Youji announced three corporate governance moves on 27 April 2026.
First, the Board will seek shareholder approval at an upcoming extraordinary general meeting (EGM) to change the company’s English name from “Wuhan Youji Holdings Ltd.” to “Wuhan Youji Holdings Limited.” The Chinese name remains unchanged. The modification is required to align with Hong Kong law once the firm’s planned change of domicile from the Cayman Islands to Hong Kong becomes effective. Implementation is subject to (1) a special resolution at the EGM and (2) clearance by the Cayman Islands Registrar of Companies. Existing share certificates will remain valid; the stock short name on the Hong Kong Stock Exchange will be unchanged.
Second, the Board proposes adopting a second amended and restated memorandum and articles of association (“New Memorandum and New Articles”) to reflect the revised English name. The adoption will take effect when the new name is formally registered. Legal advisers in both Hong Kong and the Cayman Islands have confirmed that the amendments comply with respective jurisdictional requirements and Hong Kong listing rules.
Third, executive director Mr. Chen Ping has resigned as joint company secretary, effective 27 April 2026, because Hong Kong law requires a company secretary who is a natural person to reside in Hong Kong—a criterion he will not meet after the domicile change. Mr. Chen continues as an executive director and authorised representative. Ms. Lai Ho Yan remains the sole company secretary and will liaise with Mr. Chen Ling, head of the securities department, for day-to-day communications.
A circular detailing the proposals and the EGM notice will be dispatched in due course. The company advises shareholders and potential investors to exercise caution, as the changes remain conditional on the approvals outlined above.
