Delfi Limited (P34) says all resolutions passed at Apr, 28 2026 AGM

Delfi Limited (P34) reported that shareholders approved every resolution tabled at its Annual General Meeting held on Apr, 28 2026 in Singapore. All items were decided by poll.

The meeting endorsed the FY2025 Directors’ Statement and Audited Financial Statements, with 441.09 million votes in favour (99.995%). A final dividend was supported by 438.91 million votes (99.988%).

Shareholders re-elected Mr Chuang Tiong Choon and Mr Graham Nicholas Lee to the board with 98.550% and 99.585% approval, respectively. Directors’ fees for FY2026, the re-appointment of PricewaterhouseCoopers LLP as external auditor, and the authority for directors to issue shares under Section 161 of the Companies Act 1967 also passed, each receiving at least 91.871% support.

Authority to issue new ordinary shares under the company’s Scrip Dividend Scheme secured 98.464% approval. The mandate to renew Interested Person Transactions received 99.987% support; related parties holding a combined 320.7 million shares abstained from voting.

Following the AGM, Mr Graham Nicholas Lee remains an Independent Director and Chairman of the Audit Committee.
