宝发控股有限公司(「公司」)于2026年3月3日发布公告，更新就股本重组与更改每手买卖单位的最新进度。根据此前在2025年12月19日刊发的通函，股本重组包括股份合并、削减股本及股份拆细。
公司董事会表示，目前针对削减股本及股份拆细的法院文件仍在专业顾问的准备与审阅之中，故向开曼群岛大法院提交并寻求批准的时间将有所延后。受此影响，削减股本及股份拆细的预计生效日期将相应延迟。
公告同时指出，截至本次公告日期，股份合并以及更改每手买卖单位已告生效。延迟生效日期将不会对上述已生效事项造成任何影响。公司将于适当时候另行公告后续法院聆讯结果并公布该两项目的实际生效日期。
公司提醒股东及潜在投资者在买卖其股份时保持审慎。公告称，现时公司执行董事包括周武林先生、余立安先生、黄伟文先生，独立非执行董事包括孙瑞女士及卢丽丽女士。公司已确认公告所载资料在各重大方面均属准确及完整，并无误导或欺诈成分。
