CNQC International Holdings Limited (1240) Announces Board Appointments and Management Changes

CNQC International Holdings Limited (the Company; Stock Code: 1240) has announced that Zhou Lu will serve as an Independent Non-Executive Director effective from 21 November 2025. Zhou brings over 15 years of experience in investment and asset management, having previously been the deputy chief executive officer of Cinda International Holdings Limited from December 2018 to August 2025. Zhou’s director’s service agreement spans two years, with annual remuneration set at HK$288,000.

In the same announcement, the Company reports the resignation of Au Wing Sze, who steps down from the roles of Company Secretary and Authorised Representative effective 21 November 2025. Au confirms no disagreement with the Board.

Stepping into those roles is Kwan Lok Yan, a senior manager of corporate secretarial services with over 30 years of experience. Kwan is an associate member of both The Hong Kong Chartered Governance Institute and The Chartered Governance Institute in the United Kingdom, and meets the required qualifications under Rule 3.28 of the Listing Rules.

Alongside these changes, the Company has updated its Board composition, with four Executive Directors, one Non-Executive Director, and four Independent Non-Executive Directors, reflecting the addition of Zhou Lu. The updated Board committee memberships, including Audit, Nomination, Remuneration, and Strategy and Investment, also take effect from 21 November 2025.
