GOFINTECH-2K (00290) announced that all conditions precedent under the loan capitalization agreement have been fulfilled. The loan capitalization was completed on December 24, 2025, in accordance with the terms of the agreement.

Following the completion, a total of 459 million capitalization shares were officially allotted and issued to the lender (Dr. Liu Zhiwei, as the subscriber) at an issue price of HK$1.28 per share under the special authorization. The consideration for the allotment and issuance of capitalization shares, approximately HK$587 million, will be settled by offsetting the repayment amount of about HK$587 million.

As of the announcement date, the repayment amount is deemed settled. Post-completion, the group will owe the lender HK$80 million under the shareholder financing terms of the loan agreement.

The capitalization shares represent approximately 5.04% of the total issued shares immediately before completion and about 4.80% of the enlarged issued share capital after the allotment. Each capitalization share has a nominal value of HK$0.10, with the total nominal value amounting to HK$45.87698 million.
