云游控股有限公司（00484，下称“云游控股”）公告称，因早前认购的股票挂钩定息票据触发行权条款，公司须按行使价接收龙湖集团控股有限公司（下称“龙湖”）736,559股普通股，总对价750,000美元，折合约5,850,000港元（约585万港元，不含交易成本）。
此次票据由法国巴黎银行（香港分行）于2025年10月2日发行，票面本金750,000美元，挂钩龙湖、Vistra Corp及网易三只股票，期限6个月，票面息率18.37%，到期日为2026年4月6日。最终估值日（2026年4月2日）龙湖收盘价低于行使价，每股行使价定为7.98港元，触发以股票形式偿付本金。
交易完成后，云游控股将以平均每股约1.023美元（7.98港元）的成本取得上述龙湖股份。所需资金均来自公司内部现金资源。
根据香港联交所上市规则，由于本次收购的适用百分比率介于5%至25%之间，构成须予披露交易，需履行公告及通知义务。
云游控股主营网页及移动游戏研发发行及电子设备、半导体贸易；龙湖则为中国主要房地产开发商，业务涵盖物业开发、投资及管理等领域。
