TK Group HLDG to Hold 21 May 2026 AGM; Proposes HK$0.062 Final and HK$0.10 Special Dividend, 20% Share-Issue and 10% Buyback Mandates, Corporate Governance Overhaul

TK Group (Holdings) Limited will convene its 2026 annual general meeting (AGM) on 21 May 2026 at 10/F, United Centre, Hong Kong. Key resolutions cover director re-elections, fresh share-issue and buyback mandates, a total HK$0.162 dividend proposal, auditor renewal and extensive constitutional amendments.

Dividend Proposal • Board recommends a final dividend of HK$0.062 per share and a special dividend of HK$0.10 per share for FY 2025. • Share register closes 28–29 May 2026; shareholders on record as of 29 May will be entitled to the payouts.

Board Elections and Auditor • Executive directors Lu Gong Shan, Yung Kin Cheung Michael and Cheung Fong Wa, plus independent non-executive director Dr Chung Chi Ping Roy (INED since 2013), stand for re-election. • PricewaterhouseCoopers is nominated for re-appointment as auditor.

Capital Mandates • New general mandate permits issuance of up to 20% of issued share capital (excluding any treasury shares) and authorises resale of treasury shares. • Separate mandate allows on-market repurchase of up to 10% of issued shares. • Based on 833.26 million shares in issue at 20 April 2026, the limits equal 166.65 million new shares for issuance and 83.33 million shares for repurchase. • A further resolution would extend the issue mandate by the number of shares repurchased.

Memorandum & Articles Overhaul • Proposed adoption of an amended and restated Memorandum and Articles of Association to: – Permit electronic and hybrid shareholder meetings with online voting. – Introduce provisions for holding and dealing in treasury shares in line with HKEX rule changes (June 2024). – Facilitate future uncertificated shareholding and electronic transaction regimes under Hong Kong’s new USM Rules. – Update miscellaneous provisions and housekeeping changes.

Key Timetable • Register closure for AGM entitlement: 18–21 May 2026 (last day to lodge transfers: 15 May 2026). • AGM: 21 May 2026, 9:30 a.m. HKT.

If approved, the board gains enhanced capital flexibility, and shareholders receive a combined HK$0.162 dividend while the company aligns its governance framework with Hong Kong’s latest listing and paperless reforms.
