吉盛集团控股（于开曼群岛注册成立并在港交所GEM上市，股票代码：08133）发布公告称，董事会建议在即将召开的股东周年大会上授予股份购回的一般授权，回购股份数量最多可达公司已发行股本的10%。根据公告，公司于最后可行日期的已发行股本约为3,818.4万股股份，若该授权获得批准，回购规模可达约381.84万股。
公司称，购回所需资金将根据公司组织章程文件、香港联合交易所有限公司GEM证券上市规则及开曼群岛适用法律法规的规定，从合法可动用的资金中拨付。董事会表示，此次回购可视市场情况而定，若适时实施，有望增强每股净资产及每股盈利，符合公司及股东的整体利益。
公告同时披露，为确保回购股份后不会导致上市公众持股量低于相关规定，公司将严格遵守适用的GEM上市规则。董事会强调没有任何股东或核心关联方承诺向公司出售股份。
公司将于2026年6月3日上午11时正于香港九龙湾宏照道19号金利丰国际中心8楼B室召开股东周年大会审议该回购授权提案，并于2026年5月29日至6月3日期间暂停办理股份过户登记手续（包括首尾两日）。董事会呼吁股东踊跃出席并行使投票权。公司认为，回购动态将根据业务发展及市况情况灵活推进。
