澳能建设（01183）披露4,000万港元发票融资及6,000万港元循环贷款协议　控制权变动将触发违约条款

2026年9月17日，澳能建设控股有限公司（股票代码：01183）发布公告称，其与间接非全资附属公司澳港建设（澳门）有限公司及大丰银行股份有限公司（独立第三方）于2026年9月11日签订融资协议，银行将向澳港建设提供最高总额达1亿港元的循环融资安排，具体包括：

1. 最高4,000万港元的循环发票融资授信，期限至2027年10月11日。 2. 最高6,000万港元的循环贷款融资，期限至2027年10月27日。

根据协议条款，如郭林锡先生或苏冠涛先生不再对澳能建设行使管理控制权，将构成违约事件。一旦发生违约，银行可在通知借款人及／或担保人后，立即采取以下措施： • 取消全部或部分融资承诺； • 宣告全部或部分未偿还融资本息及其他应付款项立即到期； • 要求借款人按要求偿还全部或部分融资； • 行使协议项下其他权利和补救措施。

此外，澳能建设表示，只要有关上市规则第13.18条项下的责任仍然存在，集团将在未来的中期及年度报告中持续披露上述融资协议的相关情况。

公告显示，截至公告日，董事会主席兼执行董事郭林锡先生及行政总裁兼执行董事苏冠涛先生均为公司控股股东，各自最终持有2,040,802,000股股份，占公司已发行股份的51.27%。
