CH DEMETER FIN (08120) announced that on April 24, 2026, the company entered into a placement agreement with a placing agent. The placing agent, acting on behalf of the company, conditionally agreed to use its best efforts to procure no fewer than six placees, who must be independent third parties, to subscribe for up to 27.1045 million placement shares at a price of HK$0.60 per share. The placement shares represent approximately 20% of the total issued shares as of the announcement date, and about 16.67% of the enlarged issued share capital following the placement, assuming no change in the total issued shares except for the issuance of the placement shares. The placement price of HK$0.60 per share represents a discount of approximately 11.76% compared to the closing price of HK$0.68 per share on the date of the placement agreement. Assuming all placement shares are successfully placed, the gross proceeds from the placement are expected to be around HK$16.26 million, with net proceeds estimated at approximately HK$15.81 million, equivalent to a net issue price of about HK$0.58 per placement share. The company intends to use the entire net proceeds from the placement to repay outstanding loans and interest of the group, develop agricultural products and related businesses as well as alcoholic beverage operations in China, and supplement the group's general working capital.
