Most Kwai Chung sets 31 Jul 2026 AGM to seek fresh share mandates, board re-elections and auditor renewal

Most Kwai Chung has dispatched a circular convening its Annual General Meeting (AGM) for 3:00 p.m. on 31 July 2026 at Hotel Ease‧Tsuen Wan, Hong Kong. Key resolutions tabled for shareholder approval are summarised below.

Share capital and proposed mandates • Issued shares: 270.00 million (excluding treasury shares). • General Issue Mandate: authority to allot, issue or deal with up to 54.00 million new shares—20% of issued capital—effective until the next AGM or its earlier revocation. • Repurchase Mandate: authority to buy back up to 27.00 million shares—10% of issued capital—under the same validity period. • Extension Mandate: the number of shares repurchased under the Repurchase Mandate may be added to the Issue Mandate limit.

Directors up for re-election Five directors appointed in April–May 2026 will retire and offer themselves for re-election: 1. Executive Directors: Dr Ma Liyang (Chairman and controlling shareholder) and Ms Cheng Taohong. 2. Independent Non-executive Directors: Dr Chen Yang, Dr Yuan Yuan and Ms Yuan Fan. The Nomination Committee confirmed their eligibility and independence (where applicable) in accordance with Listing Rules and the company’s diversity policy.

Auditor re-appointment Shareholders will vote on re-appointing Baker Tilly Hong Kong Limited as external auditor for the next financial year. The audit fee is estimated at HK$0.77 million–HK$1.00 million, broadly in line with the HK$0.77 million paid for FY 2026.

Voting arrangements All resolutions will be decided by poll. Proxy forms must be lodged with Boardroom Share Registrars (HK) Limited no later than 48 hours before the AGM.

Board recommendation The Board views the proposed mandates, director re-elections and auditor renewal as being in the best interests of shareholders and recommends voting in favour of all resolutions.
