国美零售(00493.HK)5月19日公告,与旗下八家附属公司及中电科太力通信科技有限公司(“债权人”)签署债务清偿协议,拟以一处位于福建泉州丰泽区温陵南路153号银联商厦一至五层(含夹层)的商业物业,抵偿合计约5402.2万元的未偿还债务(其中本金约4804万元,利息及费用约598.2万元)。\n\n协议要求,国美零售附属公司H须在协议签署后10个工作日内解除该物业全部产权负担,并完成过户。交易完成后,债务人对债权人不再负有任何债务责任,国美零售亦不会因此获得任何现金流入。\n\n估值与账面价值显示,该物业于2025年10月31日的独立评估价为3929.04万元(收益法与市场法权重分别为60%及40%),低于交易对价;2025年12月31日的账面值为6430.24万元。该物业总建筑面积约6954.28平方米,截至2025年12月31日并未产生租金收入。\n\n国美零售表示,此举旨在继续推进与主要供应商、金融机构等债权人商议的整体债务重组,帮助纾解债务风险、恢复公司信誉及长期运营能力。本次交易按香港联交所上市规则第14章归类为须予披露交易,适用百分比率介于5%至25%之间,需履行相应的申报及公告义务。
