Jolimark Controlling Shareholder Plans to Divest Entire 51.85% Stake via Placement at Minimum HK$0.55 per Share

Jolimark Holdings Limited announced that its controlling shareholder, Kytronics Holdings Limited—wholly controlled by Chairman Mr. Au Pak Yin—has signed a placing agreement on 4 September 2026 to dispose of up to 445.03 million shares, representing approximately 51.85% of Jolimark’s existing issued share capital.

Under the agreement, the placing agent will use best efforts to secure independent investors for not fewer than 120.00 million and up to 445.03 million shares at a price of no less than HK$0.55 per share. At the maximum size and minimum price, the transaction would raise at least HK$244.77 million for the Vendor. Each investor, together with any concert parties, will be capped at below a 30% post-placement stake to avoid triggering a mandatory takeover offer.

Completion is scheduled no later than 25 September 2026. Upon full completion, Kytronics Holdings will cease to hold any shares in Jolimark and will relinquish its status as controlling shareholder.

The Board stated that the placement is not expected to affect the business or operations of Jolimark Holdings. As the transaction may or may not proceed, shareholders and potential investors are advised to exercise caution when dealing in the company’s shares.
