Oriental E H Subsidiary Pacific Resort to Buy Back 10% of Its Shares

Oriental E H (00018) has announced that its indirectly held, non-wholly owned subsidiary, Pacific Resort, has entered into a share repurchase agreement. The agreement, dated June 15, 2026, is with the seller, PACIFIC RESORT INVESTMENT PTY LTD, and another indirect wholly-owned subsidiary of Oriental E H, Toho.

Under the terms of the agreement, the seller has conditionally agreed to sell, and Pacific Resort has conditionally agreed to repurchase, shares representing 10% of Pacific Resort's total issued share capital. The total consideration for the transaction is AUD 2.829 million, which is approximately HKD 15.616 million.

Upon completion of this share repurchase, Pacific Resort will become an indirectly wholly-owned subsidiary of Oriental E H. As of the date of the announcement, Pacific Resort's primary business activity in Australia is holding property investments. Its main investment property is a hotel located in Sydney.

This hotel consistently generates stable franchise fee income for the group and provides a predictable stream of cash flow. Following the completion of the share buyback, the group's economic interest in Pacific Resort will increase from 90% to 100%.

Consequently, after the repurchase, the group will be entitled to the full benefit of Pacific Resort's future operational cash flows. As a wholly-owned subsidiary, the group will also gain complete operational control and enhanced flexibility over Pacific Resort's activities.
