大中華金融控股(股份代號：431)于2026年2月27日宣布，与买方订立协议，同意以1.00港元价格出售和锋有限公司全部已发行股本。交易完成后，和锋有限公司及其下属企业将不再纳入该集团财务报告范围。
根据公告，目标出售集团自2024年起暂未运营，且截至2025年6月30日录得约4.504亿港元的综合负债净额，综合负债总额约为4.699亿港元。同时，该出售集团的逾期一年以上应收及预付款项约为0.082亿港元，其他应付款项及应计费用以及财务担保负债约为4.665亿港元。由于此次资产负债情况，上市公司预计可获得约4.504亿港元的收益，最终金额尚需视完成日期的财务数据而定。
公告显示，过去数年内，出售集团主要从事的贷款融资等业务因经济环境和市场变化而陷入停顿，并自2024年全面停止在北京的贷款融资业务。大中華金融控股认为继续投入资金支持该板块并无必要，转让相关资产有助于改善整体财务状况，并将资源更集中于烟草香精等其他业务。
公司股份自2024年9月2日起暂停买卖并将继续停牌。大中華金融控股表示，将在获得相关进展后另行公告。
