Yanlord Land Group clears all AGM resolutions, declares S$0.01 dividend

Yanlord Land Group Limited (Z25) announced that shareholders approved every resolution tabled at the company’s annual general meeting held on Apr, 24 2026.

Key decisions were:

• Adoption of the FY2025 directors’ statement, audited financial statements and auditor’s report, with 99.98% of votes cast in favour.

• Declaration of a final tax-exempt dividend of 0.01 Singapore dollars per ordinary share for FY2025 (99.99% approval).

• Approval of 400,000 Singapore dollars in fees for the company’s independent non-executive directors.

• Re-election of Mr Teo Ser Luck (who becomes Lead Independent Director and continues as Audit Committee chair) and Mr Zhong Sheng Jian (who remains Chairman and Chief Executive Officer). Mr Hee Theng Fong retired from the board after nearly nine years of service.

• Re-appointment of Deloitte & Touche LLP as external auditor, with authority for the directors to fix its remuneration.

• Renewal of a share-issue mandate allowing directors to allot new shares and convertible instruments up to 50% of the issued share capital, with a 20% sub-limit for non-pro-rata issues.

• Renewal of the share buyback mandate, authorising repurchases of up to 10% of issued shares.

All resolutions received support ranging from 94.72% to 99.99% of votes cast, and the meeting concluded at 3:55 p.m.
