Zoomlion Heavy Industry Science and Technology Co., Ltd. (Zoomlion) filed its Monthly Return for Equity Issuer for the period ended 31 August 2026, confirming no changes in its share capital structure during the month.
Zoomlion’s authorised and registered share capital remained unchanged at RMB 8.65 billion, split between 1.55 billion H-shares and 7.10 billion A-shares, each with a par value of RMB 1.00.
Issued share totals were also static: 1.55 billion H-shares and 7.10 billion A-shares. The company held no treasury shares, and its H-share public float comfortably met the Hong Kong Stock Exchange’s 5 % minimum requirement for PRC issuers.
Although no new equity was issued in August, Zoomlion highlighted a RMB 6.00 billion (0.70 % coupon) U.S.-dollar-settled convertible bond maturing in 2031, listed under code 40078. As at month-end, none of the bonds had been converted, but they remain exchangeable into up to 690.42 million H-shares at a conversion price of HKD 9.77 per share. Full conversion would expand the current H-share base by roughly 44.5 %.
The filing confirms there were no movements in share options, warrants, or other equity-linked instruments during the month. The return was submitted by Company Secretary Yang Duzhi on 1 September 2026.
