领悦服务集团有限公司（02165）7月30日公告称，董事会已委任张光虎先生为公司独立非执行董事及审核委员会主席，自2026年7月29日起生效。
公司指出，张光虎先生履新后，董事会组成已符合香港联合交易所有限公司证券上市规则相关规定： 1) 根据第3.10条，董事会中独立非执行董事人数不少于三名，且其中至少一名具备适当专业资格或具备会计、财务管理专长； 2) 根据第3.10A条，独立非执行董事占董事会人数不少于三分之一； 3) 根据第3.21条，审核委员会须至少由三名成员组成，并以独立非执行董事占多数且由独立非执行董事担任主席。
截至公告日，公司董事会由以下成员组成： － 执行董事：刘玉奇先生、罗红萍女士 － 非执行董事：王涛女士、侯三利女士 － 独立非执行董事：罗瑩女士、胡宁先生、张光虎先生
公司表示，相关任命有助确保公司治理架构符合上市规则要求。
