粉笔(02469)于香港联交所主板上市，公司于2026年4月27日发布公告，拟向股东大会申请授予董事回购授权，最多可回购其已发行股份总数的10%。根据公告资料，截至本次通函付印前，粉笔已发行股份总数约2,238,957,030股，其中30,557,000股为库存股份；若在股东大会通过决议后悉数行使回购授权，公司可回购股份上限为220,840,003股。
董事会表示，回购所需资金将来自公司现金流及可动用营运资金信贷，并遵守开曼群岛法律及上市规则的规定。公司在公告中提及，实施购回计划一方面有望增强每股价值，另一方面可优化资本结构。过去一年，该股于联交所的最高及最低成交价曾分别达每股3.93港元与0.89港元。
公告还显示，董事会认为此次购回符合公司及全体股东的最佳利益。股东周年大会拟于2026年6月26日在香港中环康乐广场1号怡和大厦1606-08室举行，6月23日至6月26日停办股份过户手续，以确立有权出席大会并表决的股东身份。
