通函显示，中车戚所主要从事高端装备关键零部件及系统解决方案业务，拟通过上市拓宽融资渠道，增强自主研发投入，提升整体竞争力。公司表示，此举旨在深化国企改革、加快产业升级，同时有助于完善资本结构。董事会认为，该项分拆利于进一步释放子公司价值，并在更大范围内整合资源。
公告还指出，本次股东会将表决包括分拆必要性分析、申请材料履行完备性以及授权事项在内的各项议案。根据港交所规则，本次表决将采取投票方式，投票结果将随后通过官方渠道公告。公司提醒股东关注会议议程并办理相关登记手续，按规定方式提交或更换代表委任表格。
