TIANGE (Tian Ge Interactive Holdings Limited) has issued a notice convening its Annual General Meeting (AGM) for 2:30 p.m. on 29 May 2026 at 12A, Intime City Tower E, Hangzhou, Zhejiang, PRC.
Key resolutions scheduled for shareholder approval include:
1. Financial Statements & Dividend • Shareholders will vote to adopt the audited consolidated financial statements and the directors’ and auditor’s reports for the year ended 31 December 2025. • The board recommends a final dividend of HK$0.02 per share, to be paid out of the share premium account. The register of members will be closed from 4 June 2026 to 5 June 2026, with 5 June 2026 set as the record date for dividend entitlement.
2. Board Composition & Remuneration • Re-election of four directors: executive directors Mr. Mai Shi’en and Mr. Zhao Weiwen; non-executive director Ms. Cao Fei; and independent non-executive director Mr. Wang Mingchun. • Authorisation for the board to set director remuneration.
3. Auditor Appointment • Proposal to appoint Rongcheng (Hong Kong) CPA Limited as the company’s external auditor, with the board authorised to fix its remuneration.
4. Capital Management Mandates • General mandate permitting directors to allot, issue or otherwise deal with new shares up to 20% of the company’s issued share capital (excluding treasury shares) during the mandate period. • Share repurchase mandate for up to 10% of issued shares (excluding treasury shares). • Conditional extension allowing the issuance mandate to be increased by the number of shares repurchased under the repurchase mandate, capped at an additional 10% of issued shares. Management stated that no immediate share issue is planned and any repurchases will be executed when deemed beneficial to shareholders.
Administrative Details • The share register will be closed from 26 May 2026 to 29 May 2026 (both days inclusive) to determine eligibility to attend and vote at the AGM; transfers must be lodged by 4:30 p.m. on 22 May 2026. • Proxy forms must be submitted by 2:30 p.m. on 27 May 2026. • All AGM resolutions will be decided by poll, with results published on the Stock Exchange of Hong Kong and company websites.
