优然牧业（09858）8月5日公告，其全资子公司内蒙古优然牧业有限责任公司与公司非全资子公司内蒙古赛科星繁育生物技术（集团）股份有限公司（股票代码：834179）签署了一份不具法律约束力的资产置换意向书。
根据意向书，赛科星将把其18家主要从事奶牛养殖业务的附属公司全部股权出售予内蒙优然；内蒙优然则把其2家主要从事饲料及反刍动物养殖耗用品生产与销售业务的附属公司全部股权出售予赛科星。双方将以现金结算上述资产出售价款的差额。
公告称，拟收购及出售目标公司的审计及估值工作尚未完成，交易对价亦未确定。待磋商、获得必要董事会及／或股东会批准并完成审计与估值后，双方将签订最终协议。
公司指出，此次资产置换旨在消除优然牧业与赛科星之间的业务重叠，实现更清晰的业务分工及更高效的资源配置。
董事会强调，相关交易尚未落实，亦未签订任何最终协议。如交易达成，可能构成《上市规则》第14章项下的须予公布交易。公司将按规定及时发布进一步公告，并提醒股东及潜在投资者在买卖公司证券时保持审慎。
