Almana Limited has dispatched a circular convening its 2026 annual general meeting (AGM) for 11:00 a.m. on 29 June 2026 at Seapower Tower, Tsim Sha Tsui, Hong Kong. Key resolutions are summarised below.
New share mandates • General Mandate: Directors propose authority to issue, allot or deal with up to 20% of the issued share capital, equal to 22.77 million shares based on the 113.87 million shares outstanding on 2 June 2026. • Repurchase Mandate: Authority to buy back up to 10% of issued shares, or 11.39 million shares. • Extension Mandate: Any shares repurchased may be added to the new issue limit, effectively expanding the issuance headroom. The mandates will remain in force until the earlier of (i) the next AGM, (ii) expiry of the statutory period for holding the next AGM, or (iii) revocation by shareholders.
Re-appointment of auditor The board recommends re-appointing BDO Limited as external auditor until the next AGM. The expected audit fee for the year ending 31 December 2026 is projected at HK$1.00 million–HK$1.10 million.
Board composition Six directors retire and offer themselves for re-election: • Executive directors: Co-chairmen Cheung Chi Wing and Jin Guangwu, plus Li Sha. • Non-executive director: Guo Xiaoyun. • Independent non-executive directors: Hon Ming Sang and Shen Leyuan.
Book closure and voting The share register will be closed from 24 June 2026 to 29 June 2026 (both dates inclusive). Shareholders must lodge transfers by 4:30 p.m. on 23 June 2026 to qualify for attendance and voting. All resolutions will be decided by poll, and treasury shares, if any, will not carry voting rights.
Proxy arrangements Forms of proxy must be deposited at the company’s Hong Kong share registrar not less than 48 hours before the meeting. Submission of a proxy does not preclude shareholders from attending and voting in person.
Board recommendation The board states that all proposed resolutions are in the best interests of the company and shareholders and recommends voting in favour.
