Janco Holdings Reports No Change in Share Capital for March 2026; Cancels 3.00 Million Options

Janco Holdings Limited (HKEX: 08035) has released its Monthly Return for the period ended 31 March 2026, confirming a stable share structure and full compliance with Hong Kong’s public-float requirements.

• Authorised share capital remained at 1.50 billion ordinary shares with a par value of HKD 0.01 each, translating to HKD 15.00 million in authorised capital. No increase or reduction was recorded during the month.

• Issued shares held steady at 600.00 million, and the company continued to hold zero treasury shares. As a result, total issued share capital stayed unchanged.

• Public float met the Initial Prescribed Threshold of 25%, as required under GEM Rule 17.37D(1).

• Under the Share Option Scheme adopted on 23 September 2016, 3.00 million outstanding options were cancelled in March. No new shares were issued, no treasury shares were utilised, and the scheme now carries nil outstanding options. The mandate allows for up to 49.50 million shares to be issued upon future grants.

• The company reported no outstanding warrants, convertible securities, or other share issuance arrangements, and no share repurchases or redemptions occurred during the month.

Overall, Janco Holdings’ equity profile remains unchanged, reflecting a consistent capital structure with adequate public float and the cancellation of all previously outstanding share options.
