百德国际（02668）发布季度更新：完成目标集团出售并获豁免3.42亿元未偿还款项

百德国际有限公司（02668）9月30日公告，披露为解决审计报告“不予表示意见”所采取行动的最新进展。公司已按既定计划推进重组及纾困措施，核心进度如下：

本集团此前涉及一笔本金2.79亿元人民币的银行贷款（二），截至2025年12月31日累计违约本金及相关利息合计约3.42亿元人民币（未偿还款项）。根据公告，由华夏银行转让至信达深圳分公司、再转让予深圳云灃的强制执行权已获处理，深圳云灃向公司发出无条件及不可撤回的豁免函，免除公司担保责任，并同意撤回对公司的强制执行程序。至此，解除及免除公司担保的先决条件全部满足。

在全部先决条件落实后，公司于2026年9月24日完成出售目标集团。完成后，目标集团不再并表，其资产、负债及上述未偿还款项不再计入集团财务报表，从而降低了财务风险。

其他纾困进展方面： 1. 公司与主要股东保持定期沟通，以便在需要时获得进一步财务支持。 2. 集团持续评估多元化融资方案，以满足流动资金需求。 3. 集团加速应收款项回收，以强化现金流并保障日常运营。 4. 在业务层面，集团继续推进铁矿石开采及选矿分部建设，专注提升运营效率并扩大产能，目标实现全面投产。

百德国际强调，重组工作仍在进行中，若有重大进展将按上市规则及时披露。
