兴发铝业（00098）公告称，董事会已通过建议向股东大会申请一般授权，拟回购最多不超过公司已发行股本10%的股份。根据最后可行日期（2026年4月27日）公司已发行股份总数约4.2065亿股，若获股东大会批准，回购规模上限约为4206.49万股。
根据公告，此次股份购回将依照香港联合交易所有限公司证券上市规则及开曼群岛相关法律法规所允许的资金来源进行。公司表示，实施股份购回旨在提升每股收益水平、增强股东回报，并优化资本结构，符合公司及股东的整体最佳利益。
公司披露，过去十二个月（截至2026年4月27日）期间，兴发铝业的历史股价最高曾达到每股8.88港元，最低为6.60港元。董事会声明，除非在其认为对公司及股东整体利益具有重大益处的情形下，不会过度行使回购授权，亦不会导致公司公众持股量低于相关法规要求的水平。
公司将于2026年5月28日（星期四）下午在中国广东省佛山市三水区中心科技工业园D区5号召开股东周年大会，提交关于股份购回和其他相关事项的决议。为确定列名股东的会议出席资格，将于2026年5月22日至2026年5月28日暂停办理股份过户，有意出席大会并投票的股东须于5月21日16:30前递交过户文件。公司重申，回购安排有助于提升股东利益，董事会建议股东表决通过相关授权。
