Vanov Holdings to Seek Shareholder Approval for 2 HK-cent Final Dividend and Articles Revision at 26 June AGM

Vanov Holdings will convene its annual general meeting (AGM) on 26 June 2026 in Chengdu, where shareholders will vote on six key resolutions:

• Final dividend: The board recommends a cash dividend of 2 HK cents per share for FY2025, amounting to approximately HK$9.67 million based on 483.44 million issued shares. The proposed record date is 7 July 2026, with payment expected on or about 30 October 2026.

• General mandates: Directors are seeking renewal of the 12-month mandates to (i) issue new shares up to 20% of issued share capital (about 96.69 million shares) and (ii) repurchase up to 10% (about 48.34 million shares). A separate resolution would extend the issue mandate by the number of shares bought back.

• Board composition: Four directors are up for re-election—executive directors Xie Zongguo and Yuan Aomei, and independent non-executive directors Wang Yunchen and Jiang Chaozhe. Jiang joined the board on 30 April 2026.

• Auditor: Grant Thornton Hong Kong Limited is nominated for re-appointment for the coming year.

• Articles overhaul: A special resolution proposes adopting a second amended and restated Articles of Association to align with Hong Kong’s updated paperless listing regime, allow electronic and hybrid meetings, permit holding treasury shares, and incorporate other housekeeping changes.

• Administrative items: Shareholders will also vote on routine matters including granting powers to fix directors’ and auditor’s remuneration.

Key dates • Book-closure for AGM: 23–26 June 2026 (both dates inclusive); record date 26 June 2026. • Book-closure for dividend: 3–7 July 2026; record date 7 July 2026. • Proxy deadline: 10:00 a.m. on 24 June 2026.

If approved, these measures will authorise Vanov Holdings to execute future capital management activities, refresh its constitutional documents, and distribute the proposed cash dividend to eligible shareholders.
