Jia Yao Holdings Limited (the “Company”) announced that PricewaterhouseCoopers (PwC) has resigned as the auditor with effect from 28 November 2025. The resignation was due to the inability to reach an agreement on the audit fee for the financial year ending 31 December 2025. According to the information released, PwC indicated that the board of directors decided to appoint another auditor after comparing fee quotations from various firms.

The Company confirmed that PwC had not started any audit procedures for the 2025 financial year and that there are no disagreements or other matters regarding the auditor change needing to be brought to the attention of shareholders.

Following the recommendation of its Audit Committee, the board resolved to appoint SHINEWING (HK) CPA Limited as the new auditor, effective from 28 November 2025, until the conclusion of the next annual general meeting. The board expressed gratitude to PwC for past services and extended a welcome to SHINEWING on its appointment.
