中创智领（郑州）工业技术集团股份有限公司（00564）于2026年8月26日公告称，公司将通过集中竞价方式回购A股股份，回购资金总额不低于人民币3亿元且不超过人民币4亿元，资金来源为自有或自筹资金。

公司在2026年7月31日召开的第六届董事会第二十七次会议，以及2026年8月25日举行的2026年第三次临时股东大会、2026年第三次A股类别股东会及2026年第三次H股类别股东会上，已审议通过相关回购议案。

根据方案，回购股份将分两部分使用：一部分用于注销并相应减少注册资本，另一部分用于未来实施股权激励或员工持股计划。回购完成后，公司将向中国证券登记结算有限责任公司上海分公司申请注销用于减少注册资本的股份。

由于涉及注册资本减少，公司按《中华人民共和国公司法》规定向债权人发出通知。自公告披露之日起45日内（即2026年8月26日至2026年10月9日），债权人可凭有效债权文件及相关凭证要求公司清偿债务或提供担保；已收到书面通知的债权人应在30日内行使上述权利。
