Hong Kong Ferry Calls 29 May AGM; Seeks Shareholders’ Approval for Director Re-election, KPMG Re-appointment, 10% Buy-back Mandate, 20% Issue Mandate and New Articles

Hong Kong Ferry (Holdings) Company Limited will hold its annual general meeting (AGM) on 29 May 2026 at 12:00 noon in The Mira Hong Kong, Tsimshatsui.

Key resolutions to be tabled include:

1. Board Composition • Re-election of Executive Director Gabriel Lee and Independent Non-executive Directors Wu King Cheong and Chan Wai Yan, Ronald. • Wu King Cheong has served as an independent director for more than nine years; his re-election will be subject to a separate vote.

2. Auditor • Re-appointment of KPMG until the conclusion of the next AGM. • Estimated 2026 audit fee: HK$1.90 million–HK$2.10 million.

3. Share Issuance Mandate • Authorisation to issue, allot or deal with shares— including transfer of treasury shares— up to 20 % of issued share capital, equivalent to a maximum of 71.25 million shares, based on 356.27 million shares in issue. • Mandate extends to shares repurchased under the buy-back mandate.

4. Share Buy-back Mandate • Authority to repurchase up to 10 % of issued shares, or 35.63 million shares. Repurchased shares may be cancelled or held as treasury shares in line with the amended Companies Ordinance.

5. Adoption of New Articles of Association • Proposed replacement of the existing Articles to reflect: – Statutory framework for fully virtual and hybrid general meetings. – Mandatory electronic dissemination of corporate communications and implied consent mechanism. – Treasury-share regime introduced on 17 April 2025. – Electronic payment of dividends and other corporate proceeds. – Other housekeeping updates aligned with revised Listing Rules and Companies Ordinance.

Shareholders recorded on 29 May 2026 are entitled to attend and vote. The register will be closed from 26 to 29 May 2026. Proxy forms must be lodged by 12:00 noon on 27 May 2026.

If approved, the mandates will remain in force until the next AGM or earlier revocation by shareholders.
