Unity Group to Seek Shareholders’ Nod on HK$20.00 Million Share Issue to Synergy Green at 29 Sept 2026 EGM

Unity Group Holdings International Limited will convene an Extraordinary General Meeting (EGM) on 29 September 2026 at 9:30 a.m. in Wanchai, Hong Kong. Shareholders will vote on a single ordinary resolution covering three principal items:

• Approval and ratification of the Capitalisation Agreement signed on 6 August 2026 with Synergy Green Technology Limited (subscriber) and Synergy Group Worldwide Limited. Under the agreement, Synergy Green will subscribe for 50.00 million new Unity Group shares (“Capitalisation Shares”) at HK$0.40 each, raising HK$20.00 million.

• Authorisation for any one director to execute all documents and undertake actions necessary to implement the agreement and related transactions, including amendments deemed in the best interests of the company and its shareholders.

• Granting of a specific mandate to allot and issue up to 50.00 million Capitalisation Shares to Synergy Green, conditional on Stock Exchange approval for listing and dealing of the new shares. This mandate will be additional to any existing or future general or specific mandates previously granted to the board.

Administrative details: • Shareholders recorded on the register by 4:30 p.m. on 23 September 2026 will be entitled to attend and vote. The register will be closed from 24 to 29 September 2026, inclusive. • Proxy forms must be lodged with Tricor Investor Services Limited by 9:30 a.m. on 25 September 2026. • All resolutions will be decided by poll. • In the event of a typhoon signal No. 8 or black rainstorm warning between 8:00 a.m. and 11:00 a.m. on the meeting date, the EGM will be automatically adjourned; details of any rescheduling will be announced separately.

Unity Group’s board currently comprises one executive director, two non-executive directors and four independent non-executive directors.
