On 12 June 2026, Xinyuan Property Management Service (Cayman) Ltd. (Xinyuan PM) released a supplemental announcement clarifying the recent removal of three board members—executive director Feng Bo, non-executive director Tian Wenzhi and independent non-executive director Zhao Xia.
The board stated that the decision stemmed from concerns over whether the three directors could fully discharge their fiduciary duties and uphold undertakings dated 4 August 2022 provided by Zhang Yong and Yang Yuyan to the company and the Hong Kong Stock Exchange. After review by the nomination committee, the board concluded that the removals were in the best interests of both the company and its shareholders.
Legal counsel in the Cayman Islands has been engaged to confirm compliance with the company’s articles of association.
Separately, on 12 May 2026 Xinyuan Real Estate, Ltd. (XYRE) filed a writ of summons (Action No. HCA 753/2026) in the Hong Kong High Court seeking declarations that the removals and related board appointments are invalid. XYRE’s concurrent application for an interim injunction was rejected on 15 May 2026, and the substantive hearing is scheduled for 21 August 2026. No injunction is currently in force against Xinyuan PM or its directors.
The company states that business operations remain normal and that it will vigorously defend the proceedings in collaboration with professional advisers. The post-removal board now comprises executive directors Shen Yuan-Ching and Tang Yucao, alongside six independent non-executive directors.
The removed directors have not notified the board of any disagreement, and the company reports no further matters requiring shareholder attention.
