科伦博泰生物(06990)于2026年6月4日发布公告，计划在2026年6月29日举行年度股东大会，并拟提请股东审议授权公司董事会回购不超过未来股东大会通过决议日公司已发行H股总数（不包括库存股份）10%的股份。
公告显示，截至最后实际可行日期，公司在香港交易所上市的已发行H股总数为170,984,257股，如获会议批准，最多可回购17,098,425股H股。回购所需资金将来自公司依法可动用的内部资金，符合相关法律及上市规则的规定。董事会指出，实施股份回购计划旨在提高股东回报，并在公司财务状况和经营发展等因素允许的情况下，择机进行回购。
公司近日亦披露，过去12个月间，科伦博泰生物H股股价最高曾于2025年10月触及每股港币581.00元，最低则于2025年5月为港币296.20元。公司董事会认为，此次回购授权有望提升资本效率，符合公司及股东的整体最佳利益。根据公告，本次回购授权的有效期自股东大会批准之日起，至下届年度股东大会结束或另行撤销授权之日结束。
科伦博泰生物将于2026年6月24日至29日暂时关闭股东登记，以确定可出席并表决本次年度股东大会的股东资格。
