Wei Yuan Holdings Schedules 16 June 2026 AGM; Shareholders to Decide on 20% Issuance Mandate, 10% Buy-back Limit and Director Re-elections

Wei Yuan Holdings Limited will convene its Annual General Meeting (AGM) at 10:00 a.m. on 16 June 2026 at 37 Kranji Link, Singapore 728643. Key resolutions submitted for shareholder approval are as follows:

1. FY2025 Financial Statements • Adoption of the audited consolidated financial statements, directors’ report and independent auditor’s report for the year ended 31 December 2025.

2. Board Composition and Remuneration • Re-election of Mr Ng Tian Soo as Executive Director. • Re-election of Mr George Christopher Holland as Independent Non-Executive Director. • Authorisation for the Board to determine directors’ remuneration.

3. Auditor Appointment • Re-appointment of Moore CPA Limited as external auditor and authorisation for the Board to set its remuneration.

4. Share Capital Mandates • General mandate allowing the Board to allot and issue new shares— including the sale or transfer of treasury shares—up to 20% of the company’s issued share capital on the date of approval. • Authorisation for the company to repurchase its own shares on recognised exchanges up to 10% of issued share capital. • Extension of the issuance mandate by the number of shares repurchased under the 10% buy-back authority.

5. Administrative Details • Share transfer books will be closed from 11 June 2026 to 16 June 2026, both dates inclusive. Transfers must be lodged with Computershare Hong Kong Investor Services Limited by 4:30 p.m. on 10 June 2026 to qualify for AGM attendance and voting. • Shareholders may appoint proxies; holders of treasury shares are not entitled to vote.

At the date of the notice, the Board comprises two Executive Directors (Mr Ng Tian Soo and Mr Ng Tian Fah) and three Independent Non-Executive Directors (Mr Gary Ng Sin Tong, Ms Lee Wing Yin Jessica and Mr George Christopher Holland).
