Million Cities Holdings (2892) Publishes EGM Proxy Form for Proposed Sale, Purchase, and Subscription Agreements

Million Cities Holdings Limited (the “Company”), incorporated in the Cayman Islands and listed under stock code 2892, has released a proxy form outlining details of an extraordinary general meeting (“EGM”) scheduled for Wednesday, 19 November 2025, at 10:30 a.m. The meeting will be held at Unit D, 21/F, Block 1, Tai Ping Industrial Centre, 57 Ting Kok Road, Tai Po, New Territories, Hong Kong.

The proxy form indicates that two ordinary resolutions will be presented: (1) approving the Sale and Purchase Agreement (labeled “A”) and all related transactions, and (2) approving the Subscription Agreement (labeled “B”) and all related transactions. The documents related to these agreements are available for review, with the chairman of the meeting marking copies for identification. A director will be authorized to implement each agreement’s provisions upon approval.

The proxy form also specifies procedures for appointing a proxy, including instructions on completing and submitting the document no later than 10:30 a.m. on Monday, 17 November 2025 (excluding public holidays in Hong Kong). Shareholders may attend and vote in person at the EGM if they prefer.
