浙江同源康医药股份有限公司（02410，以下简称“同源康医药-B”）7月22日发布公告称，公司已在长兴县人民法院对四川汇宇制药股份有限公司（以下简称“汇宇”）提起诉讼，要求法院确认双方所谓的TY-9591合作协议及经销协议“不成立且无效”。\n\n同源康医药-B同时透露，其亦收到内江市市中区人民法院就同一合作协议、经销协议及相关文件立案的受理通知书。两宗案件均已立案，但均尚未开庭审理。\n\n董事会表示，已就上述法律程序取得法律意见，并将持续评估相关对集团可能产生的法律、运营及财务影响。根据公司中国法律顾问的初步意见，董事会认为公司对协议的成立及效力提出异议“具有合理理据”，且拟采取一切必要措施维护自身合法权益。\n\n截至公告日期，董事会确认：(a) 该法律程序对集团整体业务、运营或现金流状况并无重大不利影响；(b) 集团业务与运营保持正常。\n\n公司表示，如法律程序有重大进展，将根据监管要求及时发布进一步公告，并提醒投资者买卖公司证券时保持审慎。
