TIMELESS (08028) has announced that all conditions under the placement agreement have been fulfilled, and the placement was completed on March 27, 2026. A total of 33,227.875 placement tokens, including but not limited to Well Charm tokens, were successfully placed with placees by the placing agent at a price of approximately HK$525 per token, in accordance with the terms of the agreement. The net proceeds from the placement, including the total placing price and upfront fees, amounted to approximately HK$16.008 million. Based on the difference between the total consideration received for the placement tokens, which was HK$17.614 million, and the original purchase cost of HK$11.984 million for the related silver assets backing the tokens, the company expects to record an estimated gain of approximately HK$5.63 million from the placement. The actual gain to be recognized by the company is subject to audit and may differ from the estimated amount. Silver Era did not retain any silver tokens upon completion of the transaction. Concurrently with the transaction, Well Charm Group Limited purchased 17,195.725 placement tokens (Well Charm tokens) at the placement price, with the consent of Silver Era. The total consideration paid by Well Charm for the tokens was HK$9.116 million, comprising a total placing price of HK$9.025 million and upfront fees of HK$91,000, which was settled in cash through the placing agent.
