Hangzhou Jiuyuan Genetic Biopharmaceutical Co., Ltd. (Jiuyuan Gene) has convened an Extraordinary General Meeting (EGM) for 18 September 2026 at 14:30 (Beijing time) in Conference Room 3, No. 23, Eighth Street, Baiyang Street, Qiantang District, Hangzhou, Zhejiang Province, PRC.
The board is seeking shareholder approval for two key resolutions:
1. Ordinary Resolution – Proposed Changes in Use of Proceeds • Management will present a revised allocation plan for funds previously raised. Details of the re-allocation are contained in the circular dated 31 August 2026.
2. Special Resolution – Proposed Amendments to the Articles of Association • Shareholders will vote on updates to the Company’s governing documents, also detailed in the 31 August circular.
Voting Arrangements • All resolutions will be decided by poll, and results will be posted on the websites of the Hong Kong Stock Exchange and the Company. • The H-share register will be closed from 15 September to 18 September 2026 (both days inclusive). Holders of H-shares must lodge transfer documents by 16:30 on 14 September 2026 to qualify for attendance and voting rights. • Shareholders may appoint one or more proxies; each share carries one vote.
Logistics • The EGM is expected to last no more than half a day; attendees will bear their own travel and accommodation costs. • Identification is required for entry; corporate shareholders must provide board resolutions authorising their representatives.
