SOHO China to Renew 20% Share-Issuance and 10% Buy-back Authorities; Three Directors Up for Re-election at 22 May 2026 AGM

SOHO China (00410) has dispatched its AGM circular dated 30 April 2026, outlining several key resolutions for shareholder approval at the meeting scheduled for 22 May 2026 in Beijing.

The board seeks a fresh general mandate allowing issuance, sale or transfer of up to 20% of the company’s issued share capital, excluding any treasury shares, as of the AGM date. Based on the 5.20 billion shares outstanding on 16 April 2026, the mandate would permit the allotment or transfer of up to 1.04 billion additional shares. The mandate will remain valid until the next AGM, its required date, or earlier revocation.

A parallel proposal requests authority to repurchase up to 10% of issued shares, equating to 519.95 million shares on the same share-count basis. Shares repurchased may be cancelled or held as treasury stock, subject to regulatory requirements. The company states it will exercise the mandate only if deemed beneficial and does not expect any material impact on working capital or gearing if used in full.

Shareholders will also vote on re-electing Executive Director and Co-CEO Qian Ting, along with Independent Non-Executive Directors Huang Jingsheng and Zhang Mingeng. The nomination committee has confirmed the independence of Messrs. Huang and Zhang and assessed all three nominees’ performance as satisfactory.

Additional resolutions cover reappointment of Grant Thornton Hong Kong as external auditor and authorisation of director remuneration.

The board recommends shareholders vote in favour of all resolutions, citing enhanced financial flexibility and strengthened governance.
