HKR INT'L (00480): HKR Limited to Sell Entire Issued Share Capital of Yuet Shan Limited for HK$452 Million

On December 29, 2025, HKR International Ltd. (00480) announced that the seller, HKR Limited (a subsidiary in which the Company indirectly holds a 50% equity interest), Buyer A (SPES HOLDINGS LTD), and the buyer's guarantor entered into Sale and Purchase Agreement A. Pursuant to this agreement, the seller agreed to sell and transfer the entire issued share capital of Target Company A, Yuet Shan Limited (constituting the Sale Shares A), along with the loan owed by Target Company A to the seller as of the completion date (constituting the Sale Loan A), to Buyer A. Buyer A likewise agreed to purchase and assume the Sale Shares A and the Sale Loan A for a total consideration of HK$452 million, which may be adjusted according to the terms and conditions of Sale and Purchase Agreement A. On the same day, the seller, Buyer B (STAYBOND TRADING LIMITED), and the buyer's guarantor entered into Sale and Purchase Agreement B. Under this agreement, the seller agreed to sell and transfer the entire issued share capital of Target Company B, Jiate Property Limited (constituting the Sale Shares B), together with the loan owed by Target Company B to the seller as of the completion date (constituting the Sale Loan B), to Buyer B. Buyer B also agreed to purchase and assume the Sale Shares B and the Sale Loan B for a total consideration of HK$536 million, subject to potential adjustments based on the terms of Sale and Purchase Agreement B. Following the completion of these transactions, the Company will no longer hold any interest in the target companies, and these entities will cease to be subsidiaries of the Company. Consequently, the financial results of the target companies will no longer be consolidated into the Company's consolidated financial statements after the completion date. The properties held by the target companies were constructed by the Group in 2018 and have been held by the Group as investment properties. The Directors believe that these disposals present a favorable opportunity for the Company to realize its investment and achieve a return on capital.
