GC Construction Holdings Limited (GC Construction) issued a circular on 21 September 2026 confirming receipt of a shareholder requisition to change its corporate identity and amend its constitutional documents. The extraordinary general meeting (EGM) to vote on the proposals will be held on 6 October 2026 in Hong Kong.
A single requisitioning shareholder, Global Line Network SDN. BHD., is driving the initiative. Acting through HKSCC Nominees, the investor controls 190.00 million shares, equivalent to 19% of GC Construction’s issued share capital of 1.00 billion shares—well above the 10% threshold required to compel an EGM under Article 65 of the company’s existing memorandum and articles of association (M&A).
Key resolutions to be tabled at the EGM are:
1. Corporate name change • English name to shift from “GC Construction Holdings Limited” to “Wisewin Innotech Group Limited”. • Adoption of the Chinese dual foreign name “智盈科創集團有限公司”.
2. Adoption of new constitutional documents • Replacement of the current third amended and restated M&A with a fourth amended and restated version, limited to updates reflecting the new name.
Both items require special resolutions, meaning at least a 75% majority of votes cast. Voting will be conducted by poll. The board has not expressed a recommendation on either resolution, and no shareholder is obliged to abstain.
Implementation is conditional on: • Shareholder approval at the EGM. • Issuance of a certificate of incorporation on change of name by the Registrar of Companies in the Cayman Islands.
Upon effectiveness: • Existing share certificates will remain valid; no free exchange is planned. • New certificates will bear the new name. • English and Chinese stock short names on the Hong Kong Stock Exchange will change, subject to exchange confirmation; the stock code 01489 remains unaffected.
Administrative details: • The company’s register of members closes from 30 September to 6 October 2026 (inclusive). Transfers lodged by 4:30 p.m. on 29 September 2026 qualify shareholders to vote. • Proxy forms must reach Boardroom Share Registrars (HK) Limited at least 48 hours before the meeting.
The board has reiterated that the proposed rebranding and M&A amendments will not alter shareholder rights or affect day-to-day operations or financial position. Further announcements will follow on the EGM outcome and the effective date of the name and stock short-name changes.
