SKB BIO Announces Share Placement at Discount, Aiming to Raise Approximately HK$2.72 Billion

SKB BIO has entered into a share placement agreement, the company announced.

Under the terms of the agreement, which was signed on July 8, 2026, before market hours, the placement agent has conditionally agreed to act as the company's agent to place, or failing which to subscribe for, 5.838 million new shares to no fewer than six placees.

The placement price is set at HK$470.20 per share, representing a discount of approximately 8.52% compared to the closing price of HK$514.0 per H-share as reported on the Hong Kong Stock Exchange on the last trading day.

After deducting all associated fees, costs, and expenses, including the placement commission, the net proceeds from the placement are estimated to be approximately HK$2.723 billion.

Consequently, the estimated net price per placed share, after these deductions, is about HK$466.50.

The company intends to allocate the net proceeds from the placement for several purposes. These include funding the research and development, clinical trials, regulatory filings, manufacturing, and commercialization of its products.

Additionally, the funds will be used to enhance internal research and technological capabilities, strengthen external collaborations, and expand the product pipeline portfolio.

A portion of the proceeds is also earmarked for supplementing working capital and for general corporate purposes.
