峰岹科技（深圳）股份有限公司（FORTIOR，01304）8月20日公告称，公司董事会已于2026年8月20日审议通过并建议采纳《2026年A股限制性股票激励计划》，该计划须获得股东大会批准后方可正式实施。
根据香港联合交易所有限公司证券上市规则第17章，该激励计划涉及发行新股份，需经股东批准。公司拟在召开的“2026年第二次临时股东会”上提请股东审议并酌情批准该计划及其《实施考核管理办法》，并授权董事会处理相关事宜。
激励对象包括董事（不含独立董事）、高级管理人员、核心技术人员及技术（业务）骨干人员。所有激励对象须在公司授予限制性股票时以及考核期内，与公司或其分、子公司保持聘用或劳动关系。
公司表示，设立该激励计划旨在完善长期激励机制，吸引并留住优秀人才，进一步将股东、公司与员工利益结合，确保公司长期可持续发展与经营目标的实现。
公司将适时向股东寄发载有激励计划详细条款及临时股东大会通告的通函。
