CMON（股票代码：01792，香港联交所主板上市公司）于近日公布股东周年大会通告，拟向董事授予一般性授权，以回购不超过公司在本次股东周年大会当日已发行股份总数（不包括任何库存股份）的10%，即约6,192,000股。此外，公司亦计划为董事授予发行股份及处理附带认股权证等证券的相应授权。
根据公告，CMON当前的已发行股份总数约为61,920,000股，基准日期为2026年6月30日届时召开的股东周年大会。公司计划在符合开曼群岛法律法规及香港上市规则相关规定的前提下，以合法资金来源回购股份。公告显示，公司在过去12个月（截至2026年4月）期间的股价最高达到4.00港元，最低为0.011港元。
董事会认为，该回购计划有助于公司优化资本结构及提升股东回报。此次回购授权尚需获得股东周年大会表决通过。根据通告，为了确定股东周年大会的出席及表决权，CMON将于2026年6月25日至6月30日期间暂停办理股份过户登记，股东如需亲自或委派代表出席会议，需在6月24日下午四时三十分前完成过户手续并及时提交委任表格。董事会同时表示，若回购授权获得批准，未来将会视公司及股东整体利益以及资金状况决定是否行使回购权力及回购股份的具体规模。
