On 24 October 2025, Global Strategic Group Limited (Stock Code: 8007) announced the resignation of an independent non-executive director and the appointment of two new independent non-executive directors. According to the announcement, Mr. Leung Oh Man, Martin resigned from his role as an independent non-executive director to focus on other business commitments. He confirmed no disagreements with the Board and no issues that warrant further attention.
Mr. Leung’s responsibilities included serving as the Audit Committee chair and as a member of both the Remuneration Committee and the Nomination Committee. Concurrent with his resignation, the Board announced the appointments of two new independent non-executive directors: Mr. Tsung Ching Fung and Ms. Chak Wai Nga. Mr. Tsung holds extensive accounting and finance qualifications, while Ms. Chak brings experience in capital markets and securities transactions. Both have entered into a one-year appointment term, with annual emoluments of HK$120,000 each.
The Board also approved further changes to its committees. Mr. Tsung has become chair of the Audit Committee and a member of the Remuneration Committee and the Nomination Committee. Meanwhile, Ms. Chak will serve as chair of the Remuneration Committee and the Nomination Committee and join the Audit Committee as a member.
The announcement noted that as the Board now has only two independent non-executive directors, the Company does not meet certain requirements under the Rules Governing the Listing of Securities on GEM of The Stock Exchange of Hong Kong Limited, including having at least three independent non-executive directors and an audit committee composed of three members. The Company intends to identify qualified candidates to fill these vacancies and will make further announcements as needed.
