MBV International Limited (MBV International) has issued a circular detailing matters to be tabled at its Annual General Meeting (AGM) scheduled for 11:00 a.m. on 15 May 2026 at Shun Tak Centre, Hong Kong.
Key agenda items:
• New share issue mandate – Directors seek authority to allot and issue up to 20% of the company’s issued share capital as at the AGM date, representing up to 125.60 million new shares based on the current 628.00 million shares outstanding.
• Share repurchase mandate – Directors request approval to buy back up to 10% of issued shares, equivalent to a maximum of 62.80 million shares. The mandate will remain in force until the earlier of the next AGM, the statutory time limit for holding the following AGM or revocation by shareholders.
• Extension of issue mandate – Subject to approval of the repurchase mandate, the total number of shares repurchased could be added to the 20% issue limit.
• Director re-elections – Executive Directors Dato’ Tan Meng Seng (Chairman) and Mr Tan Beng Sen, together with Non-executive Director Ms Hou Yanli, are standing for re-election.
• Memorandum & Articles overhaul – The board proposes to replace the Second Amended and Restated Memorandum & Articles of Association with a Third Amended and Restated version. Key updates include enabling hybrid and fully electronic shareholder meetings, facilitating uncertificated securities under Hong Kong’s USM regime, and permitting the holding of repurchased shares as treasury stock.
