SY Holdings (6069)修订为联属公司提供财务资助协议，延长期限并调整最高金额

SY Holdings (6069)于2026年1月12日与旗下间接全资附属公司天津象盛、厦门象屿、象屿金控及联属公司象盛保理订立经修订的融资支持协议。该协议延长了原有融资到期日，并降低了财务资助对净资产倍数的上限。

根据公告，新的到期日由“2026年1月11日”延长至“2029年1月11日”，最高合计财务资助额度则由“象盛保理净资产的4.3倍”修改为“3.44倍”，目前约为人民币19.1亿元。此次融资安排包括基于控股股东担保的反担保及基于控股股东借款的连带责任担保，双方不收取额外费用。

公告显示，交易根据香港联合交易所有限公司证券上市规则第14章构成须予披露交易，适用百分比率超出5%但低于25%，因此须遵守申报及公告规定。由于该笔财务资助的资产比率已超过8%，亦需根据上市规则第13.13、13.15及13.16条履行一般披露责任。

资料显示，象盛保理由厦门象屿全资附属企业象屿金控与天津象盛分别持股57%及43%，主要为包括厦门象屿在内的核心企业生态参与者提供多元化的数智金融解决方案。SY Holdings表示，与国资股东携手为象盛保理业务发展提供进一步融资支持，将有助于在拓展阶段更高效地获取债务融资，并以此提升供应链效能及整体业务规模。
