创维集团有限公司（简称“创维集团”）发布公告，就建议根据公司法第99条以计划安排方式进行附先决条件股份回购、分派创维光伏股份、有关存续安排之特别交易及撤销上市地位事项披露最新进展。
据公告，创维集团此前于2026年1月20日发布规则3.5公告，披露上述建议事项，相关实施须待先决条件于截止日期前达成。截至本公告日期，所有先决条件尚未达成，公司正持续推进相关工作。
具体进展方面，就先决条件（a），创维光伏拟于2026年5月下旬召开股东大会，以获取股东对有关分派及创维光伏上市事项的批准；就先决条件（b），创维光伏正与专业顾问合作，筹备上市申请及所需提交文件，以适时向联交所提交。
此外，创维光伏已于2026年4月28日完成公司改制，深圳创维光伏科技有限公司更名为深圳创维光伏科技股份有限公司，创维光伏股份每股面值由人民币1元调整为人民币0.2元。
公告提示，该建议实施须待所有先决条件及计划条件达成或获豁免（包括根据收购守则规则25批准存续安排）后方可生效，因此建议未必会实施，股份回购计划亦未必生效。公司股东及潜在投资者买卖公司证券时应审慎行事，如有疑问可咨询专业顾问。
