量化派（02685）完成配股　发行4,597,701股筹资59.7百万元

2026年7月21日，量化派控股有限公司（股票代码：02685，下称“量化派”）公告称，已根据一般授权完成新股份认购。认购协议所载各项条件已全部达成，交易于同日落实。

本次认购共发行4,597,701股新股，每股认购价13.05港元，约占完成前已发行股本0.89%、完成后经扩大股本0.88%。发行后，公司已发行股份总数增至519,695,201股。

认购事项所得款项总额为60百万元港元，扣除佣金及相关费用后的净额约为59.7百万元港元。董事会披露，全部资金计划于2027年6月前动用，具体分配如下： 1. 智能硬件采购及商业化拓展（40%，共23.88百万元），细分为： • 智能眼镜5.97百万元 • 智能枕头5.97百万元 • 智能台灯5.97百万元 • 智能宠物产品5.97百万元

2. 物理AI基座模型研发（30%，共17.91百万元），包括： • 员工薪金及相关成本11.94百万元 • 代币及云端服务5.97百万元

3. 一般营运资金（30%，共17.91百万元），包括： • 电商相关供应商付款11.94百万元 • 电商相关员工薪金及相关成本5.97百万元

公告指出，认购人、其母公司国富量子创新有限公司及其单一最大股东柳志伟先生均为独立第三方。交易完成后，认购人未成为公司主要股东。

量化派表示，本次募资将用于扩充智能硬件数据源、推进物理AI基座模型研发，并补充电商业务运营资金。
